The website summiteducation.org (the “Website”) is operated by Athena Education Circle, LLC (referred to as “Summit Education”). The terms and conditions on this webpage (“Terms of Service”) govern all use of the Website and apply to participation in any program, course, fellowship, workshop, mentorship initiative, event, or other activity (“Program”) operated by Summit Education. 

1. Assent & Acceptance

By using the Website, you agree to be bound by and abide by the Terms of Service. If you do not agree to the Terms of Service, you must not access or use the Website. Summit Education provides access to this Website and the Programs solely on the condition that you accept and comply with the Terms of Service. Summit Education reserves the right to amend or discontinue the Website or any Program at any time, in its sole discretion.

2. Age of Users and Participants

The Website and the Programs are not intended for anyone under the age of 13. By using the Website, you represent that you are at least 13 years old. Individuals who are at least 13 but less than 18 years old can only be registered for a Program by a parent or legal guardian. Participants who are at least 18 years old can register for Programs themselves. The Programs are intended for students in grades 8-12.

3. Changes to Terms of Service

We reserve the right to update or modify the Terms of Service at any time. All changes are effective immediately when they are posted online, and apply to all access and use of the Website after they are posted. The “Last updated” date on this webpage will be updated each time the Terms of Service are amended. Continued use of the Website or participation in one or more Programs constitutes acceptance of revised Terms of Service. 

4. Intellectual Property

All content on the Website and all materials provided by Summit Education in connection with any Program (including but not limited to presentations, videos, handouts, and other instructional materials) are the intellectual property of Summit Education. You may only use the Website and Program materials for your personal, non-commercial use. You agree not to copy, reproduce, distribute, create derivative works of, publicly display, or otherwise use Summit Education’s intellectual property, including through electronic means or by registering any new trademarks, trade names, service marks, or Uniform Resource Locators (URLs), without Summit Education’s explicit written consent. You may not use Summit Education’s legal name, DBA or related names, logos, designs, or other trademarks without the prior written permission of Summit Education.  

5. User Contributions

The Website or the Programs may involve message boards, chat rooms, and other interactive features that allow users to post, display, or transmit to other users or other persons content or materials (collectively, “User Contributions”). All User Contributions must comply with the Terms of Service. Any User Contribution you share will be considered non-confidential and non-proprietary. By providing any User Contribution, you grant Summit Education and its assigns the right to use, reproduce, modify, and otherwise disclose to third parties any such material for any purpose. You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our assigns.

6. Acceptable Use

You agree not to use the Website for any unlawful purposes or any purposes prohibited by these Terms of Service. You agree not to use the Website in any way that could harm, disrupt, or damage Summit Education or its general business operations, including the operation of the Website and the Programs. Additionally, you agree not to do any of the following in connection with your use the Website or involvement with any Program:

• Harass, abuse, exploit, or threaten others or violate any individual’s legal rights; 

• Infringe upon any intellectual property rights of Summit Education or third parties; 

• Upload or disseminate computer viruses, malware, or other harmful software;

• Commit or facilitate fraud or otherwise engage in deception;

• Participate in or promote unlawful gambling, sweepstakes, contests, pyramid schemes, or commercial activities;

• Publish or share obscene, defamatory, inappropriate, or otherwise objectionable content;

• Distribute materials that incite violence, hate, or discrimination against any group; 

• Collect or harvest email addresses, personal information, or other data from the Website, its users, or Program participants without proper authorization or consent; 

• Send unsolicited bulk emails, junk emails, chain letters, advertisements, or other forms of mass commercial communications; 

• Use automated tools, bots, or scripts to extract information from the Website; or

• Otherwise engage in any activity that violates the CAN-SPAM Act or any other anti-spam laws. 

Summit Education reserves the right to take any necessary measures in response to prohibited conduct, including reporting violations to appropriate authorities.

7. Links to Third-Party Websites 

If the Website contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. Summit Education has no control over the contents of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any third-party websites linked to this Website, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

8. Privacy Policy

Certain information collected by Summit Education will be used in accordance with its Privacy Policy. By using this Website or participating in one or more Programs, you consent to the collection, use, and sharing of your information as outlined in the Privacy Policy. 

9. Termination

Summit Education reserves the right to limit, suspend, or terminate any person’s access to the Website or participation in a Program at its sole discretion if the individual violates these Terms of Service, Program guidelines, or other applicable policies. This includes, but is not limited to, engaging in any form of inappropriate conduct such as harassment, bullying, disruptive behavior, dishonesty, or actions that compromise the safety, integrity, or educational goals of Summit Education.

10. Disclaimer of Warranties

SUMMIT EDUCATION PROVIDES THE WEBSITE AND THE PROGRAMS “AS IS” AND “AS AVAILABLE.” SUMMIT EDUCATION DOES not warrant the accuracy, completeness, or usefulness of ANY information ON THE WEBSITE OR IN ANY PROGRAM. TO THE FULLEST EXTENT PERMITTED BY LAW, AND TO THE EXTENT THAT APPLICABLE LAW PERMITS THE DISCLAIMER OF EXPRESS OR IMPLIED WARRANTIES, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. SUMMIT EDUCATION DOES NOT GUARANTEE THAT THE WEBSITE WILL ALWAYS BE SECURE OR ERROR-FREE, OR THAT THE WEBSITE WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS, OR IMPERFECTIONS. SUMMIT EDUCATION IS NOT RESPONSIBLE FOR THE ACTIONS OR INFORMATION OF THIRD PARTIES.

11. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL SUMMIT EDUCATION OR ITS OWNERS, officers, directors, managers, employees, staff, contractors, mentors, agents, volunteers, OR affiliates BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, YOUR PARTICIPATION IN ANY PROGRAM, OR YOUR REGISTRATION OF ANY OTHER PERSON FOR ANY PROGRAM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND INCLUDING ANYPERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless all Released Parties regarding all Claims directly or indirectly related to or arising from your use of the Website, your participation in any of the Programs, or your registration of any person for any Program, whether such Claims are known or unknown and whether such Claims exist now or arise in the future, including any Claims asserted by or on behalf of you. This means, among other things, that for Claims you indemnify pursuant to the preceding sentence, you will pay on demand: (a) the fees and costs of all lawyers retained to defend one or more of the Released Parties against any Claim; and (b) the sum of any judgment entered against, or settlement paid by, one or more of the Released Parties regarding any Claim. As used in these Terms of Service: (a) “Released Parties” means Summit Education and its past, current, and future owners, officers, directors, managers, employees, staff, contractors, mentors, agents, volunteers, and affiliates; and (b) “Claims” means all claims, demands, actions, and causes of action for any costs, expenses, damages, fees (including attorneys’ fees), and other liabilities in connection with any loss, damage, illness, injury, or death.

13. Applicable Law; Venue 

These Terms of Service will be construed under the laws of Washington State, without giving effect to any choice or conflict of law provision or rule. Venue for any legal proceedings related to these Terms of Service will be exclusively in King County, Washington. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Arbitration

If you have any Claim against any of the Released Parties that is not released under these Terms of Service or under any other agreement that you approve in connection with registering a participant for a Program, then you may only pursue that Claim through arbitration administered by JAMS and held in King County, Washington, before a single arbitrator and according to the JAMS rules in effect at the time the arbitration is commenced. You waive any right to a jury trial and any right to bring any Claim as a plaintiff or class member in any purported “class action” or representative proceeding. 

15. Severability

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent, and the remaining provisions of the Terms of Service will continue in full force and effect.
